ZSR Ventures, LLC ("ZSR," "we," "us," or "our") provides its products and services to you through its website (the "Site") and through its related technology and services (collectively, such products, services, including any new features and applications, and the Site, the "Service"), subject to the following Terms of Service (as amended from time to time, the "Terms of Service").
By accessing, browsing, or otherwise using the Site or any other aspect of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept the terms and conditions of these Terms of Service, you will not access, browse, or otherwise use the Service.
We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. If we do this, we will post the changes on this page and will indicate at the top of this page the date these terms were last revised. Any such changes will become effective no earlier than fourteen (14) days after they are posted, except that changes addressing new functions of the Service or changes made for legal reasons will be effective immediately. Your continued use of the Service after the date any such changes become effective constitutes your acceptance of the new Terms of Service.
The Service is an AI-native commercial real estate platform that provides tools for the full investment lifecycle — from deal sourcing through asset management and disposition. The Service includes, but is not limited to, the following capabilities:
The Service utilizes proprietary and third-party technologies, including artificial intelligence, machine learning systems, third-party large language models, and external data APIs to produce its output. The Service is designed as an analytical and operational tool to assist real estate professionals and is not a substitute for independent professional judgment.
You may be required to register with ZSR in order to access and use certain features of the Service. If you choose to register, you agree to provide and maintain true, accurate, current, and complete information about yourself. Registration creates a company account ("Company") under which your data is organized. You are responsible for maintaining the confidentiality of your password and account details, and are fully responsible for any and all activities that occur under your password or account.
You agree to (a) immediately notify us of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. We will not be liable for any loss or damage arising from your failure to comply with this section. If you are under 18 years of age, you are not authorized to use the Service.
The Service is offered under subscription plans with varying features, credit allowances, and usage limits. Current plans and pricing are displayed on our pricing page. We reserve the right to change plan pricing, features, and credit allowances at any time; changes to existing subscriptions will take effect at the next billing cycle with at least fourteen (14) days' notice.
Certain AI-powered features of the Service consume "credits" based on usage. Credits are allocated monthly according to your subscription plan and do not roll over between billing periods. When your credits are exhausted, AI-powered features may be limited or unavailable until credits refresh or you purchase additional credits. Credit consumption varies by operation and AI model used.
We may offer a free trial period for new accounts. The trial provides limited access to the Service for a specified duration. At the end of the trial period, your account will revert to read-only access unless you subscribe to a paid plan. We reserve the right to modify or discontinue the free trial at any time.
Paid subscriptions are billed in advance on a monthly or annual basis through our third-party payment processor, Stripe. By subscribing, you authorize us to charge the payment method on file for all applicable fees. You are responsible for providing accurate and current payment information.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods. Upon cancellation, your account will revert to read-only access, and your data will be retained for thirty (30) days, after which it may be deleted.
You may purchase additional credits at any time. Purchased credits do not expire and are consumed after your monthly allowance is exhausted. Credit top-up purchases are non-refundable.
The Service offers a BYOK option that allows you to provide your own Anthropic API key for AI-powered features. When using BYOK:
The Service allows you to upload documents such as rent rolls, trailing 12-month operating statements (T12s), offering memoranda (OMs), appraisals, leases, insurance certificates, and other deal-related materials, as well as enter financial data, tenant information, investor details, and other business data ("User Content"). You represent and warrant that you own all right, title, and interest in such User Content or have the necessary permissions to upload and process it.
You hereby grant ZSR a nonexclusive, worldwide, royalty-free license to copy, store, process, analyze, and otherwise use your User Content solely in connection with the operation of the Service, including to generate underwriting reports, power AI features, and improve the Service. You assume all risk associated with your User Content and have sole responsibility for its accuracy, quality, legality, and appropriateness.
You authorize ZSR to collect and analyze User Content and other data relating to the Service to derive statistical and usage data. ZSR may use such aggregated, de-identified data for any purpose in accordance with applicable law and our Privacy Policy.
The Service includes a tenant-facing portal that allows tenants of properties managed through the Service to view lease details, make payments, and submit work orders. If you are a tenant accessing the portal:
The Service includes proprietary and third-party advanced technologies, such as artificial intelligence, machine learning systems, third-party large language models, and similar technology and features (together, "AI Technology"). Due to the nature of AI Technology, information, content, recommendations, or data generated by such AI Technology ("Output") may be incorrect or inaccurate. Service features that include AI Technology are not a substitute for human oversight. When you use the Service you understand and agree:
The Service is an analytical and operational tool and does not constitute investment advice, financial advice, or a recommendation to buy, sell, or hold any real estate asset or security. Underwriting reports, financial calculations, risk assessments, deal scores, and investment decision outputs generated by the Service are for informational and analytical purposes only.
You should not make any investment decision based solely on the Output of the Service. Always consult with qualified real estate, financial, tax, and legal professionals before making investment decisions. ZSR is not a registered investment adviser, broker-dealer, or financial planner, and does not provide personalized investment recommendations.
All financial calculations, projections, and analyses provided by the Service are estimates based on the inputs and data available. Actual results may vary materially from projections. Past performance data does not guarantee future results.
You acknowledge and agree that the Service may contain content, data, or features ("Service Content") that are protected by copyright, patent, trademark, trade secret, or other proprietary rights and laws. Except as expressly authorized by ZSR, you agree not to modify, copy, frame, scrape, rent, lease, loan, sell, distribute, or create derivative works based on the Service or the Service Content.
The technology and software underlying the Service are the property of ZSR and its partners. You agree not to copy, modify, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code, or sell, assign, sublicense, or otherwise transfer any right in the software.
You agree not to use the Service or its data to build your own algorithms, create or improve machine-learning models, or for any purpose that competes with the Service.
The Service may display, include, or make available content, data, information, or materials from third parties ("Third-Party Materials"), including but not limited to property data providers, AI model providers (Anthropic), payment processors (Stripe), market data services (FRED, BLS, Census, CMS), and web search results. ZSR has no control over the accuracy, availability, reliability, or completeness of Third-Party Materials.
We are not responsible for and do not endorse third-party services or data. The integration or inclusion of Third-Party Materials does not imply an endorsement or recommendation. You acknowledge and agree that ZSR will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any Third-Party Materials.
You agree not to use the Service to:
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ZSR EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
ZSR MAKES NO WARRANTY THAT (I) THE SERVICE WILL MEET YOUR REQUIREMENTS, (II) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR (IV) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIALS OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT ZSR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY DAMAGES, OR DAMAGES FOR LOSS OF PROFITS INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF ZSR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE SERVICE; (II) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (III) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (IV) ANY OTHER MATTER RELATING TO THE SERVICE.
IN NO EVENT WILL ZSR'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO ZSR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
To the extent permitted under applicable law, you agree to release, defend, indemnify, and hold ZSR and its officers, employees, directors, service providers, licensors, and agents harmless from any and all losses, damages, expenses, including reasonable attorneys' fees, rights, claims, actions of any kind, and injury arising out of or relating to your use of the Service, any User Content, your connection to the Service, your violation of these Terms of Service, or your violation of any rights of another.
All paid subscription plans automatically renew at the end of each billing period (monthly or annual) unless you cancel before the renewal date. We will charge the payment method on file at the then-current rate for your plan. We will provide at least seven (7) days' notice before any price increase takes effect on renewal.
Monthly subscriptions: No refunds are issued for partial months. If you cancel, you retain access through the end of the current billing period. Annual subscriptions: If you cancel within the first fourteen (14) days of an annual subscription, you may request a prorated refund for the unused portion. After fourteen (14) days, no refunds are available for annual plans. Refund requests should be sent to [email protected].
AI credits may be purchased as one-time top-ups or through your subscription plan's monthly allocation. Purchased credit top-ups are non-refundable and do not expire. Monthly plan credits do not roll over between billing periods. Credits are consumed based on the AI model and operation used; current credit consumption rates are available on the pricing page.
You may upgrade your subscription tier at any time. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of the current billing period at the new tier's rate. You may downgrade your subscription tier at any time; the downgrade will take effect at the start of the next billing period. Upon downgrade, features and credit allowances exclusive to the higher tier will become unavailable at the end of the current billing period. If your stored data exceeds the limits of the lower tier, you will be given thirty (30) days to export or reduce your data before access restrictions apply.
If a payment fails, we will attempt to charge your payment method up to three (3) additional times over a ten (10) day period. If all attempts fail, your account will be downgraded to read-only access until a valid payment method is provided. We will notify you by email of any failed payment attempts.
You agree that ZSR, in its sole discretion, may suspend or terminate your account or use of the Service and remove and discard any User Content within the Service, for any reason, including, without limitation, for lack of use or if ZSR believes that you have violated or acted inconsistently with these Terms of Service. ZSR may also discontinue providing the Service at any time with or without notice.
You agree that any termination of your access to the Service may be effected without prior notice, and acknowledge and agree that ZSR may immediately deactivate or delete your account and all related information and files. ZSR will not be liable to you or any third party for any termination of your access to the Service.
Upon termination, your right to use the Service ceases immediately. Sections 7 through 15 of these Terms shall survive any termination.
These Terms of Service constitute the entire agreement between you and ZSR and govern your use of the Service. These Terms of Service will be governed by the laws of the State of Delaware without regard to its conflict of law provisions. If any provision of these Terms of Service is found to be invalid, the parties agree that the court should endeavor to give effect to the parties' intentions, and the other provisions remain in full force and effect.
The failure of ZSR to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of such right or provision. You may not assign these Terms of Service without prior written consent of ZSR, but ZSR may assign or transfer these Terms of Service without restriction.
